TONTITOWN, Ark., June 23, 2015 (GLOBE NEWSWIRE) -- P.A.M. Transportation Services, Inc. (Nasdaq:PTSI) today announced that it is extending its previously announced modified “Dutch auction” tender offer to purchase shares of its outstanding common stock using available cash, cash equivalents and short-term investments, at a price of not less than $59.00 and not more than $63.00 per share, until the end of the day, 12:00 Midnight, Eastern Time, on July 9, 2015, unless further extended or withdrawn. The Company is also increasing the offer from up to 80,000 shares, or about 1.1%, of its outstanding common stock, to up to 150,000 shares, or about 2.0% of its outstanding common stock.

In connection with the extension, the Chairman of our Board of Directors, Mr. Matthew T. Moroun, has advised us that, although no final decision has been made, he or a trust of which Mr. Moroun is a co-trustee and a beneficiary (the “Moroun Trust”) may tender up to a total of 1,200,000 shares that they beneficially own in the Offer. Mr. Moroun and the Moroun Trust collectively beneficially own approximately 58% of the outstanding shares of our common stock.

Except as set forth herein, the complete terms and conditions of the tender offer remain the same as set forth in the Offer to Purchase dated May 22, 2015, and the related Letter of Transmittal.

As of the end of the day, 12:00 Midnight, Eastern Time, on June 22, 2015, the former expiration date for the tender offer, 1,230,488 shares of Common Stock had been validly tendered. Shares properly tendered will remain tendered unless withdrawn by the tendering shareholder on or before the expiration of the offer at the end of the day, 12:00 Midnight, Eastern Time, on July 9, 2015, and additional shares may be tendered on or before such expiration time on July 9, 2015.
